These Terms & Conditions (together with the policies and documents referenced herein, including our Privacy & Cookies Policy and Returns & Refunds Policy) (“Terms”) set out the legal terms that govern your use of our website (www.celenvo.com), any sub‑domains, mobile or desktop applications operated by or on behalf of Celenvo (collectively, the “Website”), and related services (collectively, the “Services”).

By using the Website or placing an order, you agree to be bound by these Terms. If you do not accept these Terms, please do not use the Website or place an order.


1. Definitions & Interpretation

Words beginning with a capital letter (e.g. “We”, “You”, “Partner”, “Order”) are defined terms and carry the meaning given to them in these Terms.

“Celenvo”, “we”, “us” and “our” refer to Celenvo LLC or applicable affiliate.

“You” and “your” refer to the user, visitor, or purchaser using the Services.

Headings are for ease of reading and do not affect interpretation.


2. About Us & Our Role

Celenvo is a curated global fashion marketplace. We facilitate the sale of products by independent boutiques, brands, or sellers (“Partners”) to customers.

When you place an order, you are contracting with the Partner, not with Celenvo (unless otherwise explicitly stated). Celenvo acts as agent in facilitating the transaction, arranging delivery, customer support, etc.

In some cases, Celenvo or an affiliate may itself sell a product, in which case the contract is between you and Celenvo. We will inform you when that is the case.


3. Our Services

Our Services allow you to browse, select, purchase products from multiple Partners, and have them delivered to you.

Celenvo may also provide related services, such as logistics, order tracking, customer support, returns handling, and promotional services.

The exact entity providing services or processing payments may depend on your location.


4. Eligibility

You must be at least 16 years old to use the Services.

You must have legal capacity to enter into a binding agreement.


5. Placing Orders & Contract Formation

a) How to Order

You place an order via the Website by following the checkout steps and confirming your purchase.

You will receive an email confirming acceptance of your order. That confirmation may constitute the formation of the contract.

b) Order Acceptance & Cancellation

All orders are subject to acceptance by the relevant Partner (or Celenvo, where applicable) and availability of the product.

We reserve the right to refuse or cancel orders for reasons including incorrect pricing, stock unavailability, payment problems, or suspicion of fraud.

If cancellation occurs after payment, we will refund you.

c) Pricing & Errors

We aim for accurate product information, prices, and images, but errors may occur.

If we detect a pricing error after order placement, we will notify you and offer you the choice to reconfirm the order at corrected price or cancel it.

If we cannot contact you, the order may be cancelled and refund issued.


6. Payment & Taxes

We accept: Visa, Mastercard, American Express, Discover, Diners Club; Apple Pay; Google Pay; Shopify Pay; Shop Pay (including installment options, where eligible); PayPal.

Payments are processed securely via PCI-compliant third parties. We do not store full credit card details or CVV.

Prices are displayed including applicable taxes (where required).

For international orders, import duties or customs fees may apply. Unless stated otherwise at checkout, you are responsible for paying them.

Returns of items may include refunding taxes/duties, subject to policy and jurisdiction.


7. Shipping & Delivery

We ship globally (excluding restricted regions) using trusted couriers (e.g. DHL, UPS, FedEx).

Shipping Costs

We provide Free Worldwide Express Shipping on all orders.
Every parcel is fully insured and includes tracking information.


Processing & Handling

Orders are prepared and dispatched within 24–48 hours (1–2 business days) after payment confirmation.

Orders placed on weekends or public holidays will be processed on the next business day.

Once your order has shipped, you will receive an email confirmation with your tracking number.

Business days are Monday to Friday, excluding weekends and public holidays.

 

You will receive tracking information once your order is dispatched. Delivery dates are estimates and cannot always be guaranteed. We are not liable for delays due to customs, courier issues, or other force majeure events.


8. Returns, Cancellations & Refunds

You may request a return within 14 days of delivery for qualifying items (unused, with tags, in original packaging, including Celenvo Security Tag).

Returns must be authorized in advance via our support contact. Unauthorized returns or late returns may be rejected.

Return shipping must use tracked carriers (UPS, DHL, FedEx) — no regular postal services.

Wholesale buyers have a 7‑day return window for defects or mis-shipped products only.

Upon acceptance, refunds are processed to your original payment method (or other method if agreed).

If you cancel during a “cooling-off” period (where applicable under local consumer law), you must return items within the stipulated return period, and you may be responsible for return shipping costs.


9. Product Descriptions & Quality

Product descriptions, specifications, pricing, imagery and promotions are provided by Partners or brands. We strive for accuracy but do not warrant perfection.

Colors may appear differently depending on your device.

If you receive an item that is materially different from its description or defective, notify us promptly to initiate return or replacement in line with our Returns Policy.

Items are for personal/non-commercial use only; resale is prohibited unless you have explicit authorization.


10. Intellectual Property

All content on the Website (text, images, logos, software, layout) is owned or licensed by Celenvo or Partners. All rights reserved.

You may not copy, reproduce, distribute, reverse-engineer, or create derivative works from our content without permission.

You may not systematically extract content (e.g. via scraping or bots) for reuse elsewhere.


11. Prohibited Conduct

You agree not to:

Use the Website or Services for illegal or fraudulent purposes

Interfere with or harm the Website’s functionality or security

Infringe third-party rights (copyright, trademarks, privacy)

Use data-mining, robots, or similar technologies to extract data

Post harmful, offensive, or unlawful content through the Website

Violation may lead to suspension or termination of your access, and legal action.


12. Third-Party Sellers & Platforms

Products are sold by independent Partners. Celenvo is not the principal in those contracts (unless explicitly stated).

We require Partners to meet authenticity, quality, and customer service standards.

If disputes arise regarding a Partner’s product, contact us — we will mediate and assist.

Celenvo is not liable for acts or omissions of Partners beyond our reasonable control.


13. Limitation of Liability

To the fullest extent allowed by law, Celenvo is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Website or Services.

Our total liability for claims related to a single order is limited to the amount you paid for that order.

These limitations do not exclude liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot by law be excluded.


14. Indemnification

You agree to indemnify, defend, and hold harmless Celenvo, its officers, directors, employees, agents, and affiliates from and against all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

Your violation of third-party rights or laws


15. Force Majeure

We are not responsible for failure or delay in performance caused by events beyond our reasonable control, such as natural disasters, war, strikes, government actions, telecommunications failures, or delays in transportation.
During such events, our obligations are suspended, and we will attempt to resume services once feasible.


16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA (or other jurisdiction you designate).

Disputes will be resolved in the courts of Travis County, Texas (or other agreed venue).

You and we submit to the jurisdiction of those courts.


17. Amendments to Terms

We may revise or update these Terms at any time.

When changes are material, we will notify you (e.g. via email or banner).

Your continued use of the Website or placing new orders after changes indicates acceptance of the new Terms.


18. Severability & Waiver

If a court finds any provision of these Terms invalid or unenforceable, the remaining provisions remain in full force.

If we delay or fail to enforce a right under these Terms, it is not a waiver of that right; only a written waiver signed by authorized personnel is effective.


19. Entire Agreement

These Terms, plus the referenced policies (Privacy & Cookies, Returns & Refunds), constitute the entire agreement between you and Celenvo concerning your use of the Website and Services, superseding any earlier agreements or communications.
